TERMS AND CONDITIONS OF SALE
Item 1
Prices and Terms of Payment
Together with the order the BUYER will pay a deposit of 50 % of the aircraft value to the SELLER. The rest (balance) will be paid when the aircraft is ready for shipment. SELLER will send the BUYER's final invoice and export C of A at least 10 days prior to the shipment.
Item 2
Delivery Time
Production will start as soon as the sales contract is signed by the buyer and the deposit received at SELLER's account. SELLER announces the delivery time in written form to the BUYER. In case the agreed delivery time overdraws for more than three weeks in the fault of the SELLER, BUYER decides either to cancel his order or to penalise the SELLER of the amount of 0,05% of the total amount for each delayed delivery day. SELLER is not responsible for whatsoever delay or non–delivery caused by higher power, e.g. whatsoever sudden and presumptive events, which are not possible to avoid. The higher power may include except of others for example misfortune caused by the natural phenomenon like earthquake, floods, fire, tempest, acts of the government power like laws, regulations, orders, wars, uprisings and other social commotions, strikes and other workers’ manifestos, insufficient or intermittent gas deliveries or crude.
Item 3
Warranty
SELLER provides a producer’s warranty on all products of 150 flight hours or for the period of two years after acceptance of aeroplane, which ever comes first. The warranty does not cover damages of the aircraft, accidents or defects caused by use and abuse of the aircraft or it’s components. Warranty period does not refer to the time of warranty repair.
Item 4
Declaratory Judgement
Judicial organ for disputes of this contract is for both contracting parties shall be the Regional Court of Adana, Turkey.
Item 5
Mutual and Conclusive Establishments
The rights and duties resulting from this contract reassign on the legal representative of both contracting parties. This contract may be amended and added only in writing with the agreement of both parties thereof. This contract is executed in two copies. The parties thereof receive one copy each. This contract comes into force with it's date of signature of both contracting parties.
